TOTAL90 Terms and Conditions

TOTAL90 is a fantasy soccer platform where soccer fans ("you" or "User") can engage with their favorite players and teams, build virtual squads, and connect with the global soccer community. TOTAL90 offers a fantasy soccer platform where users can participate in fantasy soccer tournaments based on real-life player performances. Users can earn coins ("Rewards") through gameplay, which can be redeemed for merchandise, premium features, or other benefits within the TOTAL90 platform.

These Terms and Conditions ("T&Cs" or "Terms") govern your use of the TOTAL90 website located at total90.com (including any successor URLs) ("TOTAL90 Website" or "Website") and/or mobile application(s) available for download ("TOTAL90 App" or "App"), operated by TOTAL90 LLC and its affiliates ("TOTAL90," "we," "us"). Our Privacy Policy governs how we process data received through your use of the Website, App, and Services.

Depending on your activities on the platform, additional terms ("Additional Terms") may apply, including:

Game Rules, if you participate in fantasy tournaments;
Brand Guidelines, if you use TOTAL90's marks or trademarks.

These Terms, along with any applicable Additional Terms, form a legally binding agreement between you and TOTAL90. Please read them carefully. 1. The TOTAL90 Website and App

1.1. Ownership

The Services include all features, games, and offerings provided through the Website and App ("Services"). 1.3. Third-Party Services

The Website and App may include links or content from third-party services (e.g., payment processors, player data providers, or external marketplaces) ("Third-Party Services"). These are subject to the third-party provider's terms and privacy policies, and TOTAL90 is not responsible for their availability, accuracy, or content. Use of Third-Party Services does not imply endorsement by TOTAL90.

2. Account

2.1. Account Creation

TOTAL90 is free to use. To create a User account, provide:

A username;
An email address.

Alternatively, you may sign up using your Google or Apple account. By creating an account, you represent and warrant that you:

Are 18 years or older;
Agree to these Terms;
Will use the Website, App, and Services in compliance with applicable laws;
Are not located in a country subject to U.S., EU, or UN embargo restrictions or listed as a restricted party (e.g., a Specially Designated National by the U.S. government).

2.2. Account Use

The Website, App, and Services are for individual, non-commercial, personal use. You may not create accounts on behalf of others or coordinate with others to misuse the platform.

2.3. Username

Choose a username for your account, associated with your activities (e.g., tournament participation or Player Card trades).

You may change your username once every three months.
Usernames must not be misleading, abusive, harassing, offensive, or malicious.

2.4. Account Security

Use a strong password, consider a password manager, and follow security best practices. TOTAL90 is not liable for loss or theft of your account information.

You are responsible for securing your login details and enabling two-factor authentication (recommended).
Report any unauthorized access or theft of account information to our Support Team via https://help.total90.com/.

2.5. Prohibited Account Uses

Multiple Accounts: You may not create multiple accounts or manage others' accounts.
Collusion: You may not coordinate with other accounts to create unfair advantages in tournaments or manipulate Player Card values (e.g., through artificial trading).
Recreation: You may not create a new account if your previous account was suspended or terminated.

3. Rewards Wallet

3.1. Your Rewards Wallet

Each User account includes a Rewards Wallet to store Rewards and Player Cards. Secure your Wallet with a strong password and follow best practices. TOTAL90 is not liable for loss or theft of Rewards or Player Cards due to compromised account information.

3.2. Managing Your Wallet

Use your Rewards Wallet to store and redeem Rewards for merchandise, premium features, or other benefits.
Link an external wallet to transfer Player Cards, as outlined in the Help Center (https://help.total90.com/).
Report suspected unauthorized access to your Wallet immediately via the Help Center.

4. Services

4.1. License Grant

Subject to compliance with these Terms and any Additional Terms, TOTAL90 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services for personal use.

5. Free Player Cards

5.1. License Grant

Upon account creation, TOTAL90 provides free digital Player Cards ("Free Cards") that are not NFTs. You are granted a license to collect and use Free Cards within the TOTAL90 platform, subject to these Terms.

5.2. Third-Party Rights

Free Cards may include player images, team branding, or other elements licensed from third-party rights holders ("Third-Party Card Elements"). You may only use these elements as part of Free Card usage within the TOTAL90 platform. Any other use (e.g., commercial purposes, modification, or distribution) is prohibited without TOTAL90's prior written consent.

6. Player Cards

6.1. Overview

Player Cards are digital cards featuring professional soccer players, some of which are NFTs using blockchain technology. TOTAL90 uses a Layer 2 solution on the Ethereum blockchain to mint NFTs, ensuring scalability and reduced transaction fees.

6.2. Scarcity

Player Cards are categorized by scarcity levels (e.g., Common, Rare, Super Rare, Unique), guaranteed by the underlying NFT.

6.3. Value

Player Cards are collectibles for enjoyment, not investment. Their value may fluctuate based on market dynamics, but TOTAL90 does not guarantee appreciation.

6.4. Ownership

Purchasing a Player Card grants ownership of the underlying NFT, subject to these Terms. You may trade, sell, or transfer Player Cards via the TOTAL90 Marketplace or third-party platforms.

6.5. Third-Party Rights

Player Cards include licensed elements ("Third-Party Card Elements"). You are granted a non-exclusive license to use, display, and transfer these elements as part of the Player Card for personal, non-commercial purposes while you own the NFT. Prohibited actions include:

Using Player Cards for commercial purposes;
Modifying or reproducing Player Cards;
Using Player Cards in connection with hate speech, defamation, or content infringing others' rights.

7. Player Card Transactions

7.1. Acquisition

Auctions: Purchase Player Cards via TOTAL90 auctions. Bidding is final, and the highest bidder wins. Auctions have no reserve price and run for a specified period.
Marketplace: Buy or sell Player Cards on the TOTAL90 Marketplace, subject to Marketplace Terms.
Third-Party Platforms: Transfer Player Cards to external wallets or third-party marketplaces, subject to applicable fees and terms.

7.2. Waiver of Withdrawal Rights

Due to the digital nature of Player Cards, you waive your right to a 14-day withdrawal period under applicable consumer laws (e.g., French Consumer Code Article L. 221-18) upon purchase. TOTAL90 will confirm this waiver via email.

8. Fantasy Tournaments

8.1. Gameplay

Compose teams using Free Cards or Player Cards and compete in fantasy tournaments based on real-world player performances. Earn Rewards based on performance, redeemable for in-app benefits. Participation is governed by Game Rules (https://total90.com/game_rules).

9. Payment

9.1. Payment Processing

Payments are processed by trusted third-party payment providers. Additional verification may be required, subject to their terms and privacy policies.

9.2. Blockchain Transactions

Transactions are recorded on the blockchain and are irreversible once processed.

10. Referral Program

Participate in the Referral Program to invite others to TOTAL90 and earn Rewards, subject to Referral Program Terms.

11. Affiliate Program

Join the Affiliate Program to earn commissions on revenue from referred Users, subject to Affiliate Program Terms.

12. User Content and Feedback

12.1. User Content

You grant TOTAL90 a transferable, sublicensable, royalty-free, worldwide license to use, reproduce, and distribute content you create (e.g., usernames, team names, comments) for promotional or operational purposes.

12.2. Feedback

Feedback provided via social media, email, or other channels grants TOTAL90 a similar license to use and distribute for promotional or operational purposes.

13. TOTAL90's Content

13.1. Proprietary Content

The Website, App, and Services, including designs, logos, and algorithms, are TOTAL90's proprietary property. Unauthorized use or reproduction is prohibited.

13.2. No Ownership

Purchasing Player Cards does not grant ownership of TOTAL90's proprietary content or third-party rights.

14. Service Modifications

14.1. Changes

TOTAL90 may modify, suspend, or discontinue Services for valid reasons (e.g., technical improvements, legal requirements). Material changes will be notified in advance via your User account or email.

14.2. Termination Rights

If modifications adversely affect your access, you may terminate your account within 30 days.

14.3. Beta Features

Beta features may be modified or discontinued at TOTAL90's discretion without liability.

15. Prohibited Uses

15.1. Content Restrictions

You may not:

Post misleading, abusive, or offensive content;
Impersonate others or misrepresent affiliations;
Engage in fraudulent transactions or manipulate Player Card values.

15.2. Technical Restrictions

You may not:

Access non-public areas of the Website or App;
Use automated tools (e.g., bots, scrapers) to extract data;
Reverse engineer or modify the Services;
Engage in activities that disrupt the Services or violate applicable laws.

16. Suspicious Activity and Violations

16.1. Reporting

Report suspicious activity via https://help.total90.com/. TOTAL90 may investigate and limit account access during inquiries.

16.2. Violations

Violations may result in temporary or permanent account suspension, tournament ineligibility, or Reward forfeiture. Permanent suspensions allow 30 days to transfer Player Cards or Rewards to an external wallet; untransferred assets become irretrievable.

16.3. Appeals

Appeal suspensions via the Help Center, providing your name, username, email, and details of the issue.

17. Indemnification

You agree to indemnify TOTAL90 and its affiliates against claims arising from:

Your violation of these Terms or Additional Terms;
Misuse of the Services;
Violation of third-party rights or applicable laws;
Negligence or willful misconduct.

18. Disclaimer

The Services are provided "as is" without warranties, express or implied, to the extent permitted by law. TOTAL90 does not guarantee uninterrupted, secure, or error-free access, data accuracy, or absence of malware. Where applicable law prohibits warranty exclusions, such exclusions do not apply.

19. Liability

19.1. General

TOTAL90 is not liable for:

Losses from reliance on Website or Service information;
Loss of User content, Rewards, or Player Cards;
Auction outcomes or account suspensions;
Third-party technology failures or cyberattacks;
Blockchain-related risks, unless caused by TOTAL90's gross negligence.

19.2. User Content

TOTAL90 is not liable for User-generated content or exchanges between Users.

19.3. Limitation

TOTAL90's liability is limited to direct damages not exceeding amounts paid by you to TOTAL90 in the prior 12 months.

20. Account Deletion and Termination

20.1. User Termination

You may delete your account and discontinue use of the Services at any time. Account deletion is irreversible, and untransferred Rewards or Player Cards will be lost.

20.2. TOTAL90 Termination

TOTAL90 may terminate your account for breaches of these Terms, with notice and reasons provided. You have 30 days to transfer assets post-termination, unless termination is due to fraud or illegal activity.

21. Amendments

TOTAL90 may amend these Terms or Additional Terms, with advance notice for material changes. Continued use after the notice period constitutes acceptance.

22. Miscellaneous

TOTAL90's failure to enforce a right does not waive it.
Invalid provisions do not affect remaining Terms.
Obligations surviving termination remain in effect.
Promotions may have separate rules, which take precedence if conflicting.

23. Issue Resolution and Applicable Law

Marketplace Terms

1. Scope

The Marketplace allows Users to post Player Cards for sale or purchase. Sellers set prices, and Buyers evaluate offers. These Marketplace Terms, alongside the T&Cs, govern Marketplace activities.

2. Transactions

Posting Offers: Sellers post Player Cards with a set price for 48 hours. Offers expire if unsold but can be reposted.
Buyer/Seller Responsibility: TOTAL90 does not arrange or intervene in transactions. Sellers and Buyers are solely responsible for offers and purchases.
Taxes: Sellers are responsible for applicable taxes on transactions.

3. Offer Ranking

Player Cards are ranked by an algorithm based on price, scarcity, and player performance ("Best Value"). Buyers may sort by criteria like "Ending Soon," "Newly Listed," "Highest Price," or "Lowest Price."

4. Disputes

Marketplace Issues: Address claims via the Help Center.
Buyer/Seller Disputes: Resolved between parties, but TOTAL90 may investigate fraud or enforce Terms.

5. Tax Obligations

Sellers must declare income from sales to tax authorities.

TOTAL90 does not provide tax advice; consult relevant authorities (e.g., for U.S. residents, www.irs.gov).

Referral Program Terms

1. Overview

The Referral Program allows Users ("Referrers") to invite others ("Referees") to join TOTAL90 and earn Rewards.

2. Eligibility

Referrers must have a validated account, comply with these Terms, and generate a Referral Link via https://total90.com/invite.

3. Qualified Referrals

A referral is valid if the Referee:

Is a new User, 18 or older, not in the process of signing up;
Creates and verifies an account via the Referral Link;
Purchases five Player Cards on the Primary Market within 150 days.

Referrals via paid advertising are ineligible.

4. Rewards

Qualified Referrals earn both Referrer and Referee one random Player Card, delivered within seven days of the Referee's fifth purchase.

5. Violations

Fraud or violations may result in service restrictions or legal action.

Affiliate Program Terms

1. Scope

The Affiliate Program allows Users to earn commissions on revenue from referred Users.

2. Application

Apply at https://total90.com/affiliate_program with a validated account and accurate information.

3. Acceptance

TOTAL90 may accept or decline applications at its discretion.

4. Participation

Accepted Affiliates enroll with our Third-Party Affiliate Partner, accepting their terms, and generate an Affiliate Link.

5. Qualified Leads

Leads must create and verify an account via the Affiliate Link and accept the T&Cs.

6. Affiliate Fees

Affiliates earn a 10% commission on revenue from Leads for one year. Fees are paid monthly, based on tracked data.

7. Violations

Fraudulent Leads or false application information may result in service restrictions or repayment of fees.

8. Miscellaneous

TOTAL90 may update or discontinue the Affiliate Program without notice.
